A stockholder vote is stalling a merger, and Senti Biosciences does not yet have enough support to push it through. The company convened its virtual 2026 Annual Meeting on October 8, then immediately adjourned without conducting any business, buying time to collect additional votes in favor of its pending Merger Agreement Proposal.

The adjournment is the clearest public signal yet that the transaction lacks a clear majority at this moment. The filing does not disclose how far short the vote count fell, nor does it name a reconvened date, but the company’s explicit goal is soliciting the remaining stockholder support needed to approve the merger terms. For a company whose strategic pivot in mid-2026 included spinning off SENTI-202 and other gene-circuit assets, a blocked or delayed vote creates real uncertainty about whether that restructuring completes on schedule.

SENTI-202 is a Logic Gated CAR NK cell therapy targeting CD33 and FLT3 in AML. Senti completed enrollment in its Phase 1 trial earlier this year and had been positioning the asset for a pivotal-stage spinout, which depends on the merger closing. The gene circuit platform underlying it programs cells to sense disease inputs and act selectively, a design intended to spare healthy tissue. None of that clinical progress moves forward cleanly if the corporate transaction remains in limbo.

What to watch now is the reconvened meeting date. If Senti sets it quickly and the vote clears, the spinout timeline stays intact and SENTI-202 advances under a new structure. If the company needs multiple adjournments, the delay compounds, and the pivotal-stage plans for its lead program become harder to execute on the original schedule.
