The merger, expected to close in the second half of 2025, is contingent upon meeting specific success criteria in Beckley’s Phase 2b trial of BPL-003 for treatment-resistant depression. A concurrent $30 million private placement further supports the combined entity’s financial footing.
This merger positions atai Beckley to significantly impact the mental health landscape by consolidating resources and expertise in psychedelic drug development. The combined pipeline, featuring potentially first-in-class and best-in-class assets like BPL-003 (intranasal mebufotenin), offers a unique approach to treating mental health conditions through convenient administration and shorter treatment durations. The anticipated mid-2025 topline data readout from the Phase 2b BPL-003 trial, the largest controlled study of its kind in the U.S., holds immense potential for validating this approach and accelerating the broader acceptance of psychedelic therapies.
Beckley’s shareholders will receive approximately 105 million new atai shares, valuing Beckley at about $390 million. These shares will be subject to a lock-up period with a phased release schedule. Atai also secured a $30 million private placement from Ferring Ventures and Adage Capital Partners, bolstering the combined company’s financial position. Prior to the merger’s completion, Beckley plans to divest Eleusis Holdings Limited and its subsidiaries, which hold assets related to ELE-101, another clinical-stage asset.
